1. About These Terms

These Terms of Service govern your use of Miaigi's website and services. Miaigi is a SOFAKING Platform Reseller registered in the United Kingdom. By using our services you agree to these terms. If you have questions, contact us at hello@miaigi.co.uk.

2. Services

Miaigi provides digital services including website design and development, marketing automation, AI-powered tools, and ongoing digital stewardship — all powered by the SOFAKING Platform. Service details, pricing, and scope are agreed in writing before work commences.

3. Payment Terms

  • One-off project fees are invoiced as agreed (typically 50% upfront, 50% on completion)
  • Monthly stewardship fees are due on the first of each month
  • Late payments may incur interest at 8% above the Bank of England base rate (Late Payment Act 1998)
  • Services may be suspended for accounts overdue by more than 30 days

4. Intellectual Property

Upon full payment, you own the website content and assets we create specifically for you. The SOFAKING Platform technology and Miaigi's proprietary tools remain our intellectual property. We retain the right to display your project in our portfolio unless you request otherwise.

5. Client Responsibilities

You agree to:

  • Provide accurate information and timely feedback during projects
  • Ensure content you provide does not infringe third-party rights
  • Keep your login credentials secure and notify us of any unauthorised access
  • Use our services in compliance with applicable law

6. Limitation of Liability

To the fullest extent permitted by law, Miaigi's liability for any claim arising from these terms or the use of our services is limited to the fees paid by you in the three months preceding the claim. We are not liable for indirect, consequential, or loss-of-profit damages.

7. Termination

Either party may terminate a service with 30 days' written notice. Upon termination, outstanding fees become immediately due. We will provide a reasonable handover period and export of your data on request.

8. Governing Law

These terms are governed by the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.

9. Changes to These Terms

We may update these Terms of Service from time to time. We will notify you of significant changes at least 30 days in advance via email.
